Terms of Service  

WiNC Technology, LLC — Effective Date: September 14th, 2025

  1. Acceptance of Terms

    By using the services provided by WiNC Technology, LLC (“WiNC,” “we,” “our,” or “us”), you (“Customer,” “you,” or “your”) agree to these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use our services.

  2. Description of Services

    WiNC provides information technology services including, but not limited to:

    • VoIP phone systems and service;
    • computer and network support;
    • website hosting and development;
    • sale of related hardware and software solutions.
  3. Customer Responsibilities

    Customer shall use WiNC’s services only for lawful purposes. Customer must maintain the security of account credentials and is responsible for all activity occurring under their account. Customer must comply with all applicable laws and regulations, including FCC rules governing telecommunications services.

  4. Outbound Call / Caller ID Authentication & Anti-Spoofing

    As part of its VoIP and telephony services, WiNC requires that all outbound calls using Customer numbers must comply with applicable regulations governing caller ID authentication (including STIR/SHAKEN where required). Customer agrees not to manipulate, falsify, or spoof caller identification information in violation of law or FCC rules.

    WiNC reserves the right to suspend or terminate service immediately if it determines, in its sole discretion, that Customer is using the service in a manner that violates caller ID authentication policies, regulations, or laws.

  5. Acceptable Use

    Customers may not use WiNC’s services to:

    • send unsolicited bulk communications (spam);
    • initiate robocalls, fraudulent, abusive, or harassing calls;
    • distribute content that infringes on intellectual property rights;
    • engage in unlawful, abusive, or malicious activities.

    WiNC may suspend or terminate services for violations of this policy.

  6. Payments, Billing & Refunds

    Payment Terms: All services are billed in advance unless otherwise agreed in writing. Recurring services will be automatically billed on their renewal date.

    Late Payments: Payments not received by the due date may incur late fees and/or service suspension.

    Refunds & Cancellations: Prepaid fees are non-refundable. Customers may cancel services at any time, but cancellation does not relieve the obligation to pay accrued fees.

  7. Data Protection & Privacy

    Customer data (including websites, call logs, and other hosted data) remains the property of the Customer. WiNC will take commercially reasonable measures to protect data but does not guarantee absolute security. WiNC may disclose customer data if required by law, subpoena, or governmental request. When legally permissible, WiNC will attempt to notify the Customer.

  8. Intellectual Property & DMCA Policy

    Customer is responsible for all content stored, transmitted, or displayed using WiNC services. WiNC will respond to valid Digital Millennium Copyright Act (DMCA) notices or similar legal requests. Repeat infringers may have accounts terminated.

  9. Termination & Suspension

    WiNC may suspend or terminate services if:

    • Customer violates these Terms;
    • Customer engages in illegal or abusive activity; or
    • Customer fails to make timely payment.

    Upon termination, Customer remains responsible for all outstanding obligations. WiNC is not responsible for retaining or returning Customer data after termination unless agreed in writing.

  10. Indemnification

    Customer agrees to indemnify, defend, and hold harmless WiNC, its employees, agents, and affiliates from any claims, damages, or expenses (including attorney’s fees) arising from:

    • Customer’s use or misuse of services;
    • Customer’s violation of law or third-party rights;
    • content transmitted, hosted, or stored through WiNC services.
  11. Limitation of Liability

    To the fullest extent permitted by law, WiNC shall not be liable for any indirect, incidental, consequential, or punitive damages, including lost profits or data, arising from the use or inability to use the services.

    WiNC’s total liability for any claim shall not exceed the amount paid by Customer for the service in question during the three (3) months preceding the event giving rise to the claim.

  12. Force Majeure

    WiNC shall not be held responsible for delays or failures caused by events beyond its reasonable control, including but not limited to: natural disasters, government actions, power outages, network failures, cyberattacks, or other emergencies. In such events WiNC will attempt to notify Customers and will take commercially reasonable steps to resume performance.

  13. Changes in Terms

    WiNC reserves the right to update these Terms at any time. Updated Terms will be posted on our website. Continued use of services after changes are posted constitutes acceptance of the updated Terms.

  14. Severability

    If any provision of these Terms is found to be invalid, illegal, or unenforceable for any reason, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be deemed modified to the extent necessary to make it valid and enforceable, consistent with the parties’ original intent.

  15. Governing Law & Dispute Resolution

    These Terms shall be governed by and construed in accordance with the laws of the State of Oklahoma, without regard to conflict of law principles.

    Any disputes shall be brought exclusively in the courts of Bryan County, Oklahoma.

    Statute of Limitations: Any cause of action or claim arising out of or related to these Terms or the services must be filed within one (1) year after the cause of action arose, or it is permanently barred.
